TERMS OF SALE

Last Updated: August 28, 2026

These Terms of Sale apply to purchases made through www.woolrich.us (the “Site”). Please read them carefully before placing an order.

1. Your Rights and Obligations

THIS DOCUMENT CONTAINS IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT MAY APPLY TO YOU. PLEASE READ IT CAREFULLY.

BY PLACING AN ORDER FOR PRODUCTS THROUGH THE SITE, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

YOU MAY NOT ORDER OR PURCHASE PRODUCTS THROUGH THE SITE IF YOU DO NOT AGREE TO THESE TERMS.

These Terms of Sale (the “Terms”) apply to the purchase and sale of products through www.woolrich.us. These Terms may be updated from time to time by Woolrich USA Inc. (“Woolrich,” “we,” “us,” or “our,” as the context may require). The latest version will be posted on the Site with the “Last Updated” date shown above. You should review these Terms before purchasing products through the Site.

These Terms form an integral part of the Terms of Use that apply generally to your use of the Site. You should also review our Privacy Policy before placing an order.

2. Order Acceptance and Cancellation

Your order constitutes an offer to purchase the products listed in your order under these Terms. All orders are subject to acceptance by Woolrich. We may decline or cancel an order in our discretion, including where a product is unavailable, pricing or product information is incorrect, payment authorization is unsuccessful, or fraud or unauthorized activity is suspected.

After receiving your order, we will send you an order confirmation email containing your order number and details of the products ordered. Acceptance of your order and formation of the sales contract between you and Woolrich will occur when we send the order confirmation email.

To request cancellation, contact customer.care@woolrich.us as soon as possible after placing your order. Cancellation is not guaranteed once an order has entered processing or has been shipped.

3. Prices and Payment Terms

All prices are in US Dollars.

All prices displayed on the Site are subject to change without notice. The price charged for a product will be the price displayed at the time the order is placed and will be stated in your order confirmation email. Price changes will apply only to orders placed after the change.

Displayed product prices do not include applicable taxes or shipping and handling charges unless expressly stated otherwise. Applicable taxes and shipping charges will be added to your order total and displayed in the shopping cart, at checkout, or in your order confirmation.

Before finalizing and placing your order, you are advised to check the final sale price and total amount due, which is inclusive of sales tax applied in accordance with applicable state and local regulations based on your shipping address.

The amount of sales tax charged on your order will depend upon various factors, including, for example, the item purchased, sales price and destination of the shipment. Since sales tax regulations are subject to change, please refer to your final invoice with the shipping confirmation email to see the amount of sales tax collected on the associated order.

Payment must be received before we accept an order. We currently accept Visa, Mastercard, American Express, Diners Club, Discover, Shop Pay, Shop Pay Installments, Apple Pay, Google Pay, and PayPal Wallet, subject to availability and eligibility at checkout. Available payment methods may vary depending on your device, location, and order eligibility.

You represent and warrant that (i) the credit card and payment information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card or payment method for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.

The use of credit and debit cards and the financial information (e.g. the credit/debit card number, user codes, verification of the owner, and expiration date, etc.) will be protected by encryption protocols and specific security systems for online transactions. Please refer to our Privacy Policy for more information on how Woolrich handles and protects your data. Woolrich will only use the data to complete the procedures for the purchase of the products and to issue refunds if the products are returned, or if it is necessary to prevent or report cases of fraud committed on the Site to the police.

4. Product Quality and Characteristics

The products offered for sale on the Site bear one or more Woolrich trademarks and/or manufacturers under authorization by Woolrich. The Products for sale on the Website are new items only, with characteristics and standards typical of Woolrich garments.

The main characteristics of each product are listed on the relevant product page of the Site.

All the products offered for sale on the Site have an ID tag secured with a single-use seal. This tag and its seal are an integral part of the product. Their removal or damage will result in the forfeiture of the right of return or exchange unless otherwise required by applicable law.

Please note that while we have tried to accurately display the colors of products, the actual colors you see may depend on your monitor and browser settings and may not be accurate.

5. Our Fur and Down Policy

Woolrich is deeply committed to creating high quality garments through responsible business practices.

Woolrich’s unparalleled heritage and deep connection to the outdoors gives us a rich and unique understanding of garments designed for every environment.

To enhance durability and performance alongside versatility and style, a selection of our products is made using materials such as fur and down. We respect and believe that choosing to wear garments made with animal-derived materials is a personal decision, and we provide complete and transparent information so that customers can make their own informed choice.

Woolrich make substantial, long-term investments in our supply chain that ensure the rigorous and consistent application of dedicated control procedures and the traceability of the source of animal-derived materials.

Fur

We manage the selection of 100% of the fur used in our garments. Our verification program guarantees that these components of our garments are checked during the various stages of the production process and that all our products comply with international standards on animal welfare.

All of our furs are sourced through the renowned Saga Furs Auction House that works only with certified farms or from suppliers who source materials in accordance with the Agreement on International Humane Trapping Standards (AIHTS), the World Organization for Animal Health (OIE), the European Convention for the Protection of Animals Kept for Farming Purposes (implemented by the European Directive n. 98/58/EC), the Convention on International Trade in Endangered Species of Wild Fauna and Flora (CITES), and/or European Regulation n.1523/2007.

Down & Feathers

All of Woolrich’s down and feathers are from ducks and geese and are a by-product of the food industry. The down and feathers used in our supply chain are 100% traceable and certified by the IDFL Laboratory and Institute, a global leader in testing and inspection according to the standards established by the European Down & Feather Association (EDFA) and the International Down and Feather Bureau (IDFB). This certification ensures that down or feathers come only from certified farms that adhere to strict animal welfare standards.

6. Shipments; Delivery; Title and Risk of Loss

The specific terms of shipment and delivery of the products are outlined in detail in our Shipping Policy and are an integral and essential part of these Terms.

You bear all risk of loss and damage to the products from the time they have cleared our fulfillment house. Delivery is deemed complete and title to the products passes to you upon acceptance of shipment by a common carrier.

7. Returns and Refunds

For more information about returns and exchanges of Woolrich products, please refer to our Returns & Exchanges Policy, which forms an integral part of these Terms.

8. Manufacturing Defects

If a product arrives incorrect, damaged, or with a suspected manufacturing defect, contact customer.care@woolrich.us promptly and provide your order number and supporting photographs where requested.

Suspected manufacturing defects will be reviewed by Woolrich Customer Care through the applicable quality or warranty review process. If the issue is confirmed, Woolrich will provide a prepaid return label and may offer a full refund, replacement, repair, or exchange at no additional shipping cost, as appropriate.

Manufacturing defect claims may be reviewed separately from standard returns and are not restricted by the standard 30-day return period where applicable law, warranty rights, or consumer protection rights provide otherwise.

Normal wear and tear, accidental damage, improper care, unauthorized alterations or repairs, misuse, and failure to follow product care instructions are not considered manufacturing defects.

Nothing in these Terms limits any statutory rights you may have regarding defective, damaged, or misrepresented products.

9. LIMITED WARRANTY

THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.

WE WARRANT THAT DURING THE WARRANTY PERIOD, THE PRODUCTS PURCHASED FROM THE SITE WILL BE FREE FROM DEFECTS IN MATERIALS AND WORKMANSHIP.

WE LIMIT THE DURATION AND REMEDIES OF ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE DURATION OF THIS LIMITED WARRANTY.

SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

OUR RESPONSIBILITY FOR DEFECTIVE PRODUCTS IS LIMITED TO REPAIR, REPLACEMENT OR REFUND AS SET FORTH IN THIS WARRANTY STATEMENT. NEITHER ANY PERFORMANCE OR OTHER CONDUCT, NOR ANY ORAL OR WRITTEN INFORMATION, STATEMENT OR ADVICE PROVIDED BY US OR ANY OF OUR AGENTS OR EMPLOYEES WILL CREATE A WARRANTY, OR IN ANY WAY INCREASE THE SCOPE OR DURATION OF THIS LIMITED WARRANTY.

a. Who may use this Warranty?

This limited warranty extends only to the original purchaser of products from the Site. It does not extend to any subsequent or other owner or transferee of the product.

b. What does this Warranty Cover?

This limited warranty covers during the Warranty Period (as defined below) defects in materials and workmanship in products purchased from the Site.

c. What does this Warranty Not Cover?

This limited warranty does not cover any damages due to:

  • Improper use, storage or transportation of the product;
  • Failure to follow the product instructions or to perform any preventive maintenance;
  • Modifications;
  • Unauthorized repair;
  • Normal wear and tear; or
  • External causes such as accidents, abuse, or other actions or events beyond our reasonable control.

d. What is the Period of Coverage?

This limited warranty starts on the date of your purchase and lasts for two (2) years therefrom (the "Warranty Period"). The Warranty Period is not extended if we repair or replace a warranted product. We may change the availability of this limited warranty at our discretion, but any changes will not be retroactive.

e. What are your Remedies Under this Warranty?

With respect to any defective products during the Warranty Period, we will, in our sole discretion, either: (i) repair or replace such products (or the defective part) free of charge or (ii) refund the purchase price of such products.

If Woolrich undertakes to refund the price paid, the refund will be made, where possible, by the same method of payment you used when the product was purchased on the Site. If you wish to use another method for the refund, it will be your responsibility to communicate to Woolrich this request so that an alternative refund method can be agreed upon.

You must report any product defects, non-conformities and/or warranty claims within two (2) months from their discovery or risk voiding this warranty. This notification, indicating the specific defect and/or non-conformity detected, must be reported by filling out the form in the Contact Us section on the Site. Customer Care will assist you in coordinating the return of the product and Woolrich will assess the defects and non-conformities reported to determine its eligibility for warranty coverage.

10. LIMITATION OF LIABILITY

THE REMEDIES DESCRIBED ABOVE ARE YOUR SOLE AND EXCLUSIVE REMEDIES AND OUR ENTIRE OBLIGATION AND LIABILITY FOR ANY BREACH OF THIS LIMITED WARRANTY. OUR LIABILITY WILL UNDER NO CIRCUMSTANCES EXCEED THE ACTUAL AMOUNT PAID BY YOU FOR THE DEFECTIVE PRODUCT THAT YOU HAVE PURCHASED THROUGH THE SITE, NOR WILL WE UNDER ANY CIRCUMSTANCES BE LIABLE FOR ANY DIMINUTION IN VALUE, COSTS OF REPLACEMENT GOODS OR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES OR LOSSES, WHETHER DIRECT OR INDIRECT.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

12. Force Majeure

Neither party will be liable or responsible to the other party, or be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing an obligation under these Terms, except for your payment obligations, where and to the extent the failure or delay is caused by events beyond the affected party’s reasonable control.

Such events may include acts of God; flood, fire, earthquake, epidemic, pandemic, or explosion; war, invasion, hostilities, terrorist threats or acts, riot, or civil unrest; government orders, laws, or actions; embargoes or blockades; national or regional emergencies; strikes, labor stoppages, or other industrial disturbances; telecommunications failures; power outages or shortages; lack of warehouse or storage capacity; inadequate transportation services; inability or delay in obtaining adequate or suitable materials; and other similar events beyond the affected party’s reasonable control.

The affected party will provide notice within 15 days after becoming aware of the event, where reasonably practicable, and will use diligent efforts to minimize the effects of the event and resume performance as soon as reasonably practicable.

If the failure or delay continues for 90 consecutive days following notice, either party may terminate the affected transaction upon 15 days’ written notice, subject to applicable law.
